In December 2009, the Shareholders appointed Convex Capital having received an offer from European based, Private Equity backed, Falk & Ross.

In February 2010, the Business was sold in a deal that valued the business at 10 x EBITDA

BTC is one of the UK’s leading supplier of work wear. Falk & Ross are a leading pan European distributor of promotional products with Revenue in excess of €100m, and are Headquartered in Germany.

Convex Capital led all negotiations to arrive at an acceptable deal for the shareholders including structure and timing of the consideration and project managed the transaction through financial and legal due diligence to successful completion within a 7 week timescale.
